Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Lyvena LC("Lyvena," "we," "us," or "our"), governing your access to and use of the Seerist platform ("Seerist" or the "Service"), including the web application at seerist.xyz, app.seerist.xyz, the Seerist Chrome Extension, and any related APIs or services.
If you do not agree to these Terms, do not use Seerist.
If you are using Seerist on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.
2. About Seerist
Seerist is an AI-assisted business development platform that helps freelancers, agencies, and SaaS companies:
- Discover, score, and route job opportunities across freelance and professional platforms
- Generate tailored business development proposals using artificial intelligence
- Build service identities around SaaS products to reach clients through freelance marketplaces
- Manage a business development pipeline and track application outcomes
Seerist is operated by Lyvena LC, a Limited Liability Company registered in Próspera ZEDE, Honduras (Permit No. 84295683890730).
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years of age to use Seerist. By creating an account, you represent that you meet this requirement and that all information you provide is accurate and complete.
3.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@seerist.xyz if you suspect unauthorized access to your account.
3.3 One Account Per Person
Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions or limitations is prohibited.
4. Payments, Subscriptions, and Billing
4.1 Merchant of Record
All payments on Seerist are processed by Creem (Armitage Labs OÜ) as the Merchant of Record. When you purchase a subscription or make any payment on Seerist, your transaction is with Creem, not directly with Lyvena. Creem issues invoices, collects payment, handles tax compliance, and remits funds to us. By making a purchase, you also agree to Creem's Buyer Terms of Service available at creem.io/buyer-terms.
4.2 Subscription Plans
Seerist offers the following subscription tiers. Current pricing is displayed on our Pricing page:
4.3 Billing and Renewal
Paid subscriptions are billed monthly or annually depending on your selection at checkout. Subscriptions renew automatically at the end of each billing period unless cancelled. You authorize Creem to charge your payment method on each renewal date.
4.4 Free Plan and BYOK
Users on the Free Plan may use Seerist's core features by providing their own third-party AI provider API keys. You are solely responsible for any costs incurred from your AI provider for use of your API keys through Seerist. Seerist is not responsible for charges from third-party AI providers.
4.5 Refunds
General Policy: Due to the digital nature of Seerist and the immediate delivery of AI-generated outputs, all purchases are generally non-refundable.
Exceptions: We will provide a refund if:
- You experienced a material service failure caused by our platform within 48 hours of purchase and contacted us before using any AI features
- You were charged in error (duplicate charge, wrong plan)
To request a refund under these exceptions, contact info@seerist.xyz within 7 days of the charge with your order details. Approved refunds are processed by Creem and may take 5–10 business days to appear.
We reserve the right to decline refund requests where the Service has been used, AI features have been accessed, or the request does not meet the above criteria.
4.6 Cancellation
You may cancel your subscription at any time through the billing management section of your account, which redirects to Creem's Customer Portal. Cancellation takes effect at the end of your current billing period. You retain access to paid features until the period ends.
4.7 Price Changes
We reserve the right to change subscription pricing. We will give you at least 30 days' advance notice of any price increase via email and in-app notification before it takes effect on your renewal date.
5. Free Trial
We may offer a free trial period for paid plans. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. You will receive a reminder email before the trial expires.
6. Acceptable Use
6.1 You May Use Seerist To
- Create profiles and service identities for your own professional use
- Analyze your own SaaS products’ publicly available websites
- Generate proposals for genuine business development purposes
- Apply to legitimate job opportunities on supported platforms
- Build and manage a real pipeline of client opportunities
6.2 You May Not Use Seerist To
- Submit false, misleading, or fraudulent proposals or profiles
- Impersonate another person or entity
- Scrape, crawl, or extract data from Seerist’s platform beyond normal use
- Reverse engineer, decompile, or attempt to extract the source code of Seerist
- Submit URLs of websites you do not own or have authorization to analyze for commercial use
- Use AI-generated proposals to apply to jobs you have no genuine intention of fulfilling
- Engage in spam, mass unsolicited outreach, or platform manipulation
- Use Seerist to facilitate violations of third-party platform terms (e.g., Upwork, LinkedIn)
- Attempt to circumvent rate limits, usage restrictions, or subscription limits
- Use Seerist for any unlawful purpose or in violation of applicable law
- Harass, abuse, or harm other users
Violation of these rules may result in immediate account suspension or termination without refund.
7. AI Features and Disclaimer
7.1 AI-Generated Content
Seerist uses artificial intelligence (powered by Google Gemini and Groq's Llama models) to generate proposals, job scores, product analyses, service line suggestions, and other content. You acknowledge that:
- AI outputs are automatically generated and may contain errors, inaccuracies, outdated information, or outputs that do not reflect reality
- You are responsible for reviewing all AI-generated content before using it in any application, proposal, or business communication
- Seerist does not guarantee outcomes — using AI-generated proposals does not guarantee winning jobs, clients, or contracts
- AI outputs are not professional advice — Seerist does not provide legal, financial, or business strategy advice through its AI features
7.2 Your Responsibility for AI Use
You are solely responsible for any use you make of AI-generated content produced by Seerist, including any consequences arising from submitting AI-generated proposals to third-party platforms. You represent that you will review and personalize all AI-generated proposals before submitting them.
7.3 AI Disclosure
When using AI-generated proposals on third-party platforms, you are responsible for complying with those platforms' disclosure requirements regarding AI-generated content.
8. Product URL Analysis
When you submit a product URL for analysis through Seerist's Service-ized SaaS feature, you represent and warrant that:
- You are the owner or authorized representative of the product at that URL
- You have the right to have that product’s publicly available content analyzed for the purpose of generating service offerings
- The product is a legitimate software product or service offered by your company
Seerist crawls only publicly accessible pages and respects robots.txt restrictions where practical. We do not access password-protected or authenticated areas of your product's website.
9. Chrome Extension
The Seerist Chrome Extension operates on supported job platforms to provide match scoring and proposal generation. By installing and using the Extension:
- You grant Seerist permission to read the content of job listing pages on supported platforms while the Extension is active
- You acknowledge that the Extension operates within your browser and accesses job data only when you are actively viewing a supported platform
- You are responsible for ensuring your use of the Extension complies with the terms of service of the platforms you use it on
10. Intellectual Property
10.1 Our Intellectual Property
Seerist, its software, design, branding, logos, and all underlying technology are the intellectual property of Lyvena LC. Nothing in these Terms grants you any ownership rights in Seerist.
10.2 Your Content
You retain ownership of all data, profiles, job descriptions, and other content you upload or create in Seerist. By using Seerist, you grant us a limited, non-exclusive license to use your content solely as necessary to provide the Service to you (including sending it to AI providers for processing).
10.3 AI-Generated Outputs
AI-generated content produced using your inputs (proposals, service lines, product analyses) is owned by you. We do not claim intellectual property rights over AI outputs generated from your data.
11. Third-Party Platforms and Integrations
Seerist integrates with or supports use alongside third-party platforms (Upwork, LinkedIn, Contra, Freelancer, Toptal, PeoplePerHour, Indeed, Fiverr, RemoteOK, WeWorkRemotely, Guru, Dribbble, 99designs, and others). We are not affiliated with, endorsed by, or responsible for these platforms. Your use of these platforms is governed by their respective terms of service. Seerist is not responsible for any account suspension, restriction, or penalty imposed by a third-party platform arising from your use of Seerist.
12. Privacy
Your use of Seerist is subject to our Privacy Policy, which is incorporated into these Terms by reference.
13. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Seerist is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
We do not warrant that:
- The Service will meet your specific requirements
- AI-generated proposals will result in winning contracts or clients
- The Service will be available without interruption or delay
- Any errors or defects will be corrected
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Lyvena LC, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you arising out of or related to these Terms or your use of Seerist shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above exclusions and limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Lyvena LC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of Seerist; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any AI-generated content you use or submit to third parties.
16. Termination
16.1 By You
You may delete your account at any time through your account settings. Account deletion terminates these Terms (except for provisions that survive by their nature). See our Privacy Policy for data retention upon deletion.
16.2 By Us
We reserve the right to suspend or terminate your account with or without notice if: (a) you violate these Terms; (b) we determine your use poses risk or harm to the Service or others; (c) we are required to do so by law. In the event of termination for cause, no refund will be provided.
16.3 Effect of Termination
Upon termination, your right to access and use Seerist ceases immediately. Sections 10, 12, 13, 14, 15, 17, and 18 survive termination.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Próspera ZEDE, Honduras, without regard to its conflict of law principles. Próspera ZEDE operates under an English common law-based legal framework.
17.2 Informal Resolution
Before filing any formal claim, you agree to attempt to resolve disputes informally by contacting us at info@seerist.xyz. We will attempt to resolve the dispute within 30 days.
17.3 Dispute Resolution
If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of Próspera ZEDE's dispute resolution mechanisms, or if unavailable, through binding arbitration in a mutually agreed neutral jurisdiction.
17.4 Class Action Waiver
To the extent permitted by law, you waive any right to bring or participate in a class action lawsuit against Lyvena LC arising from or related to these Terms or the Service.
18. General Provisions
19. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top
- Notify you by email with at least 15 days' notice before changes take effect
- Display a notice within the Seerist application
Continued use of Seerist after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using Seerist and may delete your account.
