Terms of Service

1. Agreement

These Terms form a binding agreement between you ("you", the customer) and Lyvena ("we", "us"), the provider of Seerist. They apply to every plan, including free evaluation access, paid subscriptions and Enterprise agreements. Where an Enterprise order form or master agreement conflicts with these Terms, that agreement prevails for that customer.

2. Description of Service

Seerist is a business operating system for SaaS founders, providing outreach and proposal management (Pitch Queue), an AI-powered development engine (Seerist IDE), a growth and pipeline automation layer (Seerist Growth), and AI persona automation (Seerist Agents). Plan entitlements — workspaces, proposal volume, personas and support level — are described on our pricing page. We may add, change or retire features, and will give reasonable notice before removing functionality you rely on.

3. Account Registration

You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years old to create an account. Notify us immediately at info@seerist.xyz if you suspect unauthorised use.

4. Payments and Merchant of Record

Payment processing is handled by Creem (Armitage Labs OÜ, registry code 16813900, Tornimäe tn 5, 10145 Tallinn, Estonia) as our Merchant of Record. Creem is the seller of record for your subscription: it takes payment, issues the invoice, and calculates and remits VAT and sales tax in the jurisdictions where it operates. By purchasing, you also agree to Creem's Buyer Terms (https://creem.io/legal/buyer-terms).

Lyvena remains responsible for delivering the Seerist product and for customer support. Lyvena does not receive or store your full card details.

5. Subscriptions, Renewal and Cancellation

• Subscriptions are billed monthly or annually in advance, based on the plan and period you select.
• Subscriptions renew automatically at the end of each billing period at the then-current rate for your plan, until you cancel.
• You can cancel at any time from your account settings. Cancellation stops future renewals; it is not itself a refund.
• After cancelling you keep full access until the end of the billing period you have already paid for. Access ends at that point.
• Refunds are governed by our Refund Policy, including a 14-day money-back guarantee for new customers on their first purchase.
• Price changes are notified by email at least 30 days before they take effect and apply from your next renewal.

6. Acceptable Use

You agree not to:

• Use Seerist in violation of any applicable law or regulation
• Submit anything automatically to Upwork or any other freelance platform. The Seerist Chrome extension autofills a proposal you have approved — a human click by you is always required to submit. Using Seerist, or any script or tool built on it, to submit without that human click is prohibited
• Scrape Upwork's servers or those of any other platform. Seerist captures job data only from pages already rendered in your own browser session; crawling, bulk-harvesting, or hitting a platform's API or servers outside of your normal browsing is prohibited
• Breach the terms of service of any platform you use Seerist alongside. You remain bound by Upwork's and every other platform's rules, and are solely responsible for compliance with them
• Attempt to circumvent Seerist's compliance safeguards, including per-platform kill switches, the SaaS Mode compliance gate, and policy configuration
• Reverse-engineer, copy, resell, or redistribute the Seerist platform
• Use Seerist to harass, spam, mislead, or harm third parties
• Upload or generate content that infringes another party's rights

We may suspend or terminate accounts that breach this section, without refund, where the breach is material or repeated.

7. SaaS Mode and the Compliance Gate

SaaS Mode drafts proposals that also promote your own product. Because some platforms restrict or prohibit promotional links and off-platform offers, Seerist ships a per-platform compliance gate with three settings: link allowed, description only, or no mention. The default is "no mention", and a per-platform kill switch is always available.

You acknowledge and agree that: (a) you are responsible for choosing a compliance setting that is lawful and permitted by the platform you are bidding on; (b) Seerist's per-platform policy configuration is manually curated guidance, is not legal advice, and may lag behind a platform's current rules; (c) you review every proposal before submitting it; and (d) Lyvena is not liable for account suspensions, penalties, or losses arising from your use of SaaS Mode or from a compliance setting you chose or overrode.

8. Intellectual Property

All Seerist platform code, models, design, trademarks, documentation and content are owned by Lyvena or its licensors, and nothing in these Terms transfers ownership to you. You receive a limited, non-exclusive, non-transferable right to use Seerist for the duration of your subscription.

Your content — proposals, project data, code, workspaces and anything you upload — remains your property. You grant Lyvena a limited licence to host, process and transmit that content solely to operate and support the service. Output generated for you by Seerist is yours to use, subject to your payment of applicable fees.

9. AI-Generated Content

Seerist uses AI to score opportunities and generate proposal drafts, code and content. AI output is a starting point: you are responsible for reviewing, editing and taking ownership of anything before you send, publish or ship it. Lyvena makes no warranty that AI output is accurate, original, or suitable for a particular purpose.

10. Third-Party Services

Seerist connects to third-party services (for example Creem for payments, and Composio-brokered integrations such as Slack, Gmail, Google Calendar, Google Drive, Notion, Telegram and Discord). Your use of those services is governed by their own terms, and we are not responsible for their availability, changes, or acts.

11. Limitation of Liability

To the maximum extent permitted by law, Lyvena's total aggregate liability for all claims arising out of or relating to Seerist shall not exceed the amount you paid in the 12 months preceding the event giving rise to the claim. Lyvena is not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost contracts, lost data, or platform account suspensions.

Nothing in these Terms limits liability that cannot lawfully be limited.

12. Disclaimer of Warranties

Seerist is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, secure against every threat, or that it will win you any particular volume of work.

13. Termination

You may cancel or close your account at any time. Lyvena may suspend or terminate accounts that violate these Terms, that create legal or security risk, or where required by law. Upon termination your access ceases and your data may be deleted after a reasonable retention period; you may request an export before that period ends by emailing info@seerist.xyz.

14. Governing Law

These Terms and any dispute arising from them are governed by the laws of Estonia, which is also the jurisdiction of Armitage Labs OÜ (Creem), our Merchant of Record, without regard to conflict-of-law rules. Mandatory consumer-protection rights available to you in your country of residence are not affected.

15. Dispute Resolution

• Talk to us first. Email info@seerist.xyz with the details. We aim to acknowledge within 2 business days and to resolve good-faith disputes within 30 days.
• Billing disputes. Because Creem is the Merchant of Record, payment and invoice disputes may be escalated to Creem under Creem's Buyer Terms. Please contact us before initiating a chargeback — see our Refund Policy.
• Courts. If a dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the courts of Estonia, subject to any mandatory consumer rules that give you the right to bring proceedings in your own country.
• EU consumers. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Changes to These Terms

We may update these Terms. Material changes will be communicated by email or in-product notice before they take effect. Continued use after the effective date of a change constitutes acceptance.
